Roshni Nadar Malhotra has become India’s third-richest person after receiving a 47% stake in HCL Corporation from her father, Shiv Nadar, the visionary founder of the HCL Group. After this stake transfer Roshni became the largest shareholder in HCL group and holds majority control over HCL Corp and Vama Delhi, the promoter entities of HCLTech and HCL Infosystems.

HCL Corporation’s Shareholding Structure

Following the transfer, Malhotra will also acquire voting rights over the 12.94% stake held by Vama Delhi and the 49.94% stake held by HCL Corp in HCL Infosystems. Currently, Vama Sundari Investment holds a 44.71% stake in HCLTech, valued at approximately ₹186,782 crore, making it one of the most significant holdings among BSE IT companies.

HCL Tech in an exchange filing stated , “A Gift deed dated March 6, 2025 executed by Mr. Shiv Nadar in favour of his daughter Ms. Roshni Nadar Malhotra for transfer of his 47% shareholding in Vama Sundari Investments (Delhi) Private Limited (“Vama Delhi”); and ii. A Gift deed dated March 6, 2025 executed by Mr. Shiv Nadar in favour of his daughter Ms. Roshni Nadar Malhotra for transfer of his 47% shareholding in HCL Corporation Private Limited (“HCL Corp”)”

Who is Roshni Nadar Malhotra?

Roshni Nadar Malhotra has been the chairperson of HCLTech since 2020, following her father’s transition from the role. She holds a Bachelor’s degree in Communications from Northwestern University and an MBA from the prestigious Kellogg School of Management. With her extensive leadership experience, she is expected to continue driving HCL’s growth trajectory in the global IT sector.

Roshni Nadar’s Rise in the Bloomberg Billionaires Ranking

According to the Bloomberg Billionaires – India list, Roshni Nadar Malhotra has risen to become the third-richest Indian following the recent stake transfer from her father, Shiv Nadar. Mukesh Ambani continues to hold the top spot with a net worth of $88.1 billion, followed by Gautam Adani at $68.9 billion. Before the transfer, Shiv Nadar ranked third with a net worth of $35.9 billion, but with the latest development, Roshni Nadar Malhotra has now taken his place, creating her position among India’s wealthiest individuals.

HCL’s Market Position and Promoter Holdings

Among BSE IT firms, Vama Delhi holds the second-highest valued promoter stake and ranks ninth among the top 30 midcap companies by valuation. This further strengthens HCL’s position as a dominant player in the IT industry.
